Limited Warranties and Disclaimer Zee Education represents and warrants that: (a)  Zee Education will perform the Services with reasonable skill and care, using suitably qualified personnel in a manner consistent with Education standards; (b)  Zee Education will comply with state, country, and local laws, ordinances, regulations, and codes applicable to Zee Education in its performance of the Services; (c)  Any parts and materials delivered to you in conjunction with the Services will (in addition to any warranty which is provided by the original manufacturer of such parts and materials) be free from material defects at the time of installation of projects in the school/college.   In the event of any failure to meet the warranties described in Subsections (a), (b) and (c) above, Zee Education shall either: (i) re-perform the Services and/or repair or replace the defective parts or material without additional charge to you; or (ii) refund to you the amount paid for such Services or defective parts or materials; provided however, that Zee Education is notified by you in writing via e-mail at or otherwise within 15 days from the date such Services or parts and materials are furnished to you.  THE FOREGOING SETS FORTH THE EXCLUSIVE REMEDIES AGAINST Zee Education FOR CLAIMS RELATED TO PERFORMANCE OR NON-PERFORMANCE OF SERVICES AND CLAIMS RELATED TO A DEFECT OR DEFICIENCY IN SERVICES OR PARTS OR MATERIALS.   EXCEPT AS PROVIDED IN THIS SECTION, Zee Education DISCLAIMS ALL WARRANTIES, WHETHER WRITTEN, ORAL, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.  SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE THE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY.  Non-solicitation  You will not, during the performance of the Services and for 12 months thereafter, directly or indirectly solicit for employment, employ or utilize the services of, any person who is an employee of Zee Education and assignees who has been involved in activities related to the Services (in the capacity of an employee, consultant, independent contractor, or as an employee of a subcontractor or consultant), unless and until you pay to Zee Education , as liquidated damages and not as a penalty, an amount equal to the aggregate compensation (including bonuses) paid by Zee Education , its subcontractors, assignees, or any of its affiliates to such employee during the 6 months prior to the date such individual provides Services to you.   Arbitration  ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT AND EQUITABLE CLAIMS) BETWEEN YOU AND Zee Education , its agents, employees, principals, successors, assigns, affiliates (collectively, for purposes of this paragraph “Zee Education”) arising from or relating to the Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from the Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatory to the Agreement), SHALL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION pursuant to the Indian Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment upon the decision or award rendered by the arbitrator(s) may be entered in any court having competent jurisdiction thereof.  Arbitration proceedings shall be governed by this provision and the applicable procedures for consumer-related disputes, in effect at the time the claim is filed.  The arbitration proceeding will be limited solely to the dispute or controversy between you and Zee Education.  In any dispute NEITHER YOU NOR ZEE EDUCATION SHALL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS OF COMPUCOM, OR ARBITRATE ANY CLAIM AS A REPRESENTATIVE OR CLASS ACTION OR IN A PRIVATE ATTORNEY GENERAL CAPACITY.  The place of mediation and arbitration shall be the City of Central Delhi, Delhi, India, and the language of the mediation and arbitration shall be English.  The arbitration decision or award rendered shall be final and binding on the parties and their respective successors and assigns, and to the fullest extent permitted by applicable law, they shall have no right to appeal any aspect whatsoever of the decision or award.   The existence or results of any mediation or arbitration shall be treated as confidential.  YOU ACKNOWLEDGE THAT YOU AR GIVING UP YOUR RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO SUCH A CLAIM.  OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.
